The following Terms and Conditions will govern any Contract of
Sale that IT-Business-Solutions enters into. Please read these
Terms and Conditions carefully.
PRICING - On receipt of an
enquiry, we will send via e-mail, a quote to confirm the cost of
all work. No work will be undertaken until acceptance of the
quote in writing has been received. All prices on our website
are inclusive of all charges unless stated otherwise.
PAYMENT POLICY
-
After the quotation has been accepted we will produce a prototype website
containing some of the major elements of the website. We will make these
available on the internet for critique. Once you have approved this, we will
issue a pro-forma invoice for 50% of the design costs. After payment has
been received we will complete the remainder of the site.

A further invoice will be issued
for the total value of the quote after either a) the site has
been approved by you, or b) a period of 7 days have passed since
you received notification the web site was complete and approval
requested. We retain the right to remove a site should any
invoice remain outstanding for more than 30 days.
PAYMENT METHOD
- Payments for all work must be made by either Electronic Transfer (details
are on the base of each invoice), Credit Card or PAYPAL. We do
NOT accept cheques.
DELIVERY
-
We will apply our best efforts to have your site
up and running within 30 days (often a lot less) from receipt of your
photographs and text.
Where delivery is likely to be longer we will contact you with the new
expected delivery date.
Should delivery be
delayed for more than 90 days you have the right to contact us and refuse to
accept the goods. In this case we will refund any money paid by you.
CANCELLATION RIGHTS
- Either of us shall have the right to terminate any contract between us
without reason or penalty within 7 working days from acceptance in writing
of the quote. In the event of termination we shall refund to you all sums
paid by you to us within 30 days from the date of cancellation.
DATA TRANSFER LIMIT
– If the monthly
transfer rate consistently goes above that of your contract, a charge will
be made of £10 per month for each additional 500mb per month. Once the
traffic has gone above the monthly transfer rate, it will be assumed that it
will stay at that rate and you will be invoiced for the remainder of the
contract period.
REFUSAL
- We do NOT accept any material that we deem is offensive. We retain
the right to refuse any customers order.
OWNERSHIP - The Domain name is yours and may be transferred to
another ISP of your choice on the payment of a £15.00 transfer fee. Any
quotations given include the cost of the DESIGN of the website only. The
COPYRIGHT for the site remains with IT-Business-Solutions and can be
purchased at additional cost, this is usually set at 70% of the site build
cost. Ownership of all CGI/PL scripts will remain with
IT-Business-Solutions and are not for sale.
SOURCE CODE ACCESS
- We do not and will not allow direct access to the website
source code either via FTP or any other method. If you require
this access you will need to purchase copyright to the code (see
OWNERSHIP above) and move the
site to another hosting company. This it to protect your website
from corruption plus protection of the source scripts and code
from illegal copying.
COMPLAINTS
- The Contract between us shall be governed by the laws of England and any
dispute will be resolved exclusively in the courts of England. We operate a
complaints handing procedure which we will use to try to resolve disputes

ENFORCEMENT
- Failure by us to enforce any of these terms and conditions will not affect
our right to enforce the rest of these terms and conditions.
INDEMNIFICATION -
Customer agrees that it shall defend, indemnify, save and hold
IT-Business-Solutions harmless from any and all demands, liabilities,
losses, costs and claims, including reasonable attorney's fees asserted
against IT-Business-Solutions, its agents, its customers, officers and
employees, that may arise or result from any service provided or performed
or agreed to be performed or any product sold by customer, its agents,
employees or assigns. Customer agrees to defend, indemnify and hold harmless
IT-Business-Solutions against liabilities arising out of; (1) any injury to
person or property caused by any products sold or otherwise distributed in
connection with IT-Business-Solutions server (2) Any material supplied by
customer infringing or allegedly infringing on the proprietary rights of a
third party; (3) copyright infringement and (4) any defective products sold
to customer from IT-Business-Solutions server ; (5) Any damage caused by
computer viruses not identified and intercepted by our software.
FORCE MAJEURE - The Company shall not be liable in respect of any
shortage or failure to supply goods where such shortage of or failure is due
to act of God or any other reason beyond the control of the Company and the
Company in such circumstances will not be liable in respect of any
consequential loss to the Purchaser.
STATUTORY RIGHTS
- These terms and conditions do not affect your statutory rights.

These terms and conditions are subject to
change at any time without prior notice to you. They were last changed on
1st August 2007.

print and keep safe a copy of these Terms and Conditions.
